These Terms of Service ("Terms") govern your access to and use of the chuizi.ai website, API gateway, and related services (collectively, the "Service") provided by AVERNIC INC ("Company," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. Service Overview
chuizi.ai is a unified AI API gateway that provides access to large language models (LLMs) and AI services from multiple providers, including but not limited to OpenAI, Anthropic, Google, and DeepSeek. The Service acts as an intermediary, routing your API requests to upstream providers through a single, standardized interface.
The Service supports multiple API protocols, including:
- OpenAI-compatible protocol (/v1/*) for broad SDK compatibility
- Anthropic native protocol (/anthropic/*) for Claude Code, Cursor, and Anthropic SDK users
- Gemini native protocol (/gemini/*) for Google AI SDK users
We do not create, train, or control the AI models accessible through our Service. We are a routing and billing intermediary. The outputs generated by AI models are subject to the respective model provider's terms and policies.
2. Eligibility
You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to these Terms.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
3. Accounts and Registration
To use the Service, you must create an account by authenticating through a supported OAuth provider (currently GitHub or Google). You agree to provide accurate information and to keep your account secure.
You are responsible for all activity that occurs under your account, including actions taken by anyone with access to your API keys. You must notify us immediately at support@chuizi.ai if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period.
4. Payment
Pre-Paid Credits
The Service operates on a pre-paid credit model. You purchase credits denominated in USD, which are consumed as you make API requests. Credits are non-transferable between accounts.
Pricing
API usage is billed per token at the prices listed on our pricing page. This covers infrastructure, routing, billing, and support costs. Current pricing for each model is available on our pricing page.
Billing Transparency
Every API request generates a unique generation ID (prefixed with gen_). You can query the exact cost of any request via the Generation API. Token counts for billing are sourced from the upstream provider's response.
Refunds
Credit purchases are eligible for a full refund within 24 hours of purchase, provided the credits have not been consumed. After 24 hours, or if credits have been partially or fully consumed, refunds are issued at our sole discretion. Contact support@chuizi.ai for refund requests.
Payment Processing
All payments are processed by Stripe. By making a purchase, you agree to Stripe's Terms of Service. We do not store your full payment card information.
5. API Keys
API keys are issued with a ck- prefix and are displayed to you exactly once upon creation. We store only a SHA-256 hash of each key. If you lose your key, you must generate a new one.
You are solely responsible for safeguarding your API keys. Treat them as passwords. Do not embed keys in client-side code, public repositories, or shared documents. You are liable for all usage incurred through your keys, whether authorized or unauthorized.
You may create, revoke, and delete API keys at any time through your dashboard. We recommend rotating keys regularly and using the IP-whitelist and model-restriction features for additional security.
6. User Content
Input and Output
You retain ownership of the content you submit through the Service ("Input") and the content generated by AI models in response ("Output"), subject to the terms of the applicable upstream model provider. We do not claim ownership of your Input or Output.
No Training
We do not use your Input or Output to train, fine-tune, or improve any AI models. Your API request content is forwarded to the upstream provider and is not stored by chuizi.ai beyond the duration of the request processing.
Content Responsibility
You are responsible for ensuring that your use of the Service, including your Input and use of Output, complies with applicable laws and the upstream model provider's acceptable use policies.
7. Prohibited Conduct
You agree not to:
- Use the Service for any illegal purpose or in violation of applicable laws or regulations
- Generate content that is illegal, harmful, abusive, threatening, harassing, defamatory, or that exploits minors
- Attempt to circumvent rate limits, billing, authentication, or other security measures
- Resell, redistribute, or sublicense access to the Service without our prior written consent
- Scrape, crawl, or otherwise extract data from the Service by automated means outside of the intended API interface
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the Service to develop competing products by systematic benchmarking or reverse engineering
- Share API keys publicly or with unauthorized third parties
- Violate the acceptable use policies of upstream AI model providers
We reserve the right to suspend or terminate your access and forfeit remaining credits if you violate these prohibitions.
8. Rate Limits and Fair Use
We may impose rate limits on API requests to ensure fair usage and maintain service quality. Rate limits may be applied per API key, per account, or globally. Current rate limits are documented in your dashboard and may be adjusted based on your usage tier.
Exceeding rate limits will result in HTTP 429 responses. Repeated or egregious abuse of rate limits may result in temporary or permanent suspension of your account.
9. Termination
You may terminate your account at any time by contacting us at support@chuizi.ai. Upon termination, your remaining credit balance will be forfeited unless a refund is approved under Section 4.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or prolonged account inactivity.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including but not limited to Sections 6, 14, 15, 16, 17, 18, and 19.
10. Privacy & Additional Terms
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your personal data.
Certain features of the Service may be subject to additional terms, guidelines, or policies. Such additional terms will be presented to you before you use the applicable feature and are incorporated into these Terms by reference.
11. Modifications
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' prior notice by posting the updated Terms on the Service and, where feasible, by notifying you via email. The "Last updated" date at the top of this page indicates when these Terms were last revised.
Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
12. Ownership & Proprietary Rights
The Service, including its design, software, documentation, API protocols, and all related intellectual property, is owned by AVERNIC INC and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
The chuizi.ai name, logo, and all related trademarks are the property of AVERNIC INC. You may not use our trademarks without our prior written consent.
13. Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, modify, and incorporate the Feedback into the Service without obligation to you.
14. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be considered confidential given the nature of the information. This includes, but is not limited to, your API keys, usage data, and our non-public API specifications.
Confidential information may be disclosed if required by law, provided that the disclosing party gives reasonable notice to the other party (where legally permitted) to allow them to seek protective measures.
15. Indemnity
You agree to indemnify, defend, and hold harmless AVERNIC INC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the content you submit through the Service.
16. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any AI model output accessed through the Service. AI model outputs may be inaccurate, biased, or incomplete. You assume all risk associated with reliance on such outputs.
We are not responsible for the performance, availability, or behavior of upstream AI model providers. Service disruptions caused by upstream providers are outside our control.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVERNIC INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER CAUSED BY BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.
19. Dispute Resolution & Arbitration
Informal Resolution
Before initiating formal dispute resolution, you agree to contact us at legal@chuizi.ai and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be in Delaware, United States.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of small claims court may also be brought there.
